Service Agreement Seller

iPiata Seller Service Agreement

This agreement is between BANA RARES-NICOLAE AUTHORIZED NATURAL PERSON (PFA), commercial name iPiata, VAT/CIF RO33388821, registration no. F2014000987292, professional address: Str. Natiunii no. 65, Ploiesti, Prahova, Romania (the Platform) and the user registered as seller on ipiata.ro (the Seller).

By checking the acceptance box at registration, the Seller confirms they have read, understood, and accepted this agreement in full.

1. Eligibility

Seller accounts may be activated by registered legal entities in Romania or another EU/EEA state; authorized natural persons (PFA); individual or family enterprises. Sellers of food products confirm they hold all required authorisations under Regulations (EC) 178/2002, 852/2004, 1169/2011, Romanian Law 150/2004, and applicable ANSVSA regulations.

2. Product Listings

The Seller must: display accurate, complete and non-misleading descriptions in at least one platform language; use only real, recent and representative photographs; display correct final prices including VAT if applicable (GEO no. 34/2014); update stock in real time; comply with food labelling requirements including allergen declarations (Regulation (EU) no. 1169/2011); and not list counterfeit, expired, or non-compliant products.

3. Order Management

Orders must be confirmed or rejected within 24 business hours. Delivery must be completed within the listed timeframe. Products must be packaged appropriately. The Seller is liable for product non-conformities.

4. Payment Processing - Stripe Connect

The Platform will create a Stripe Connect Custom account on the Seller behalf. By using the payment service, the Seller accepts the Stripe Connected Account Agreement. The Platform processes payments under Directive (EU) 2015/2366 (PSD2).

5. Commissions, Invoicing and Payouts

The buyer pays the full order value. The Platform commission is automatically retained from each completed transaction. The net amount becomes eligible for settlement after: (1) delivery confirmation; (2) submission of applicable fiscal documents to [email protected]; and (3) verification of those documents. The Seller issues fiscal documents per their applicable tax regime (Fiscal Code, Law no. 227/2015).

6. Transparency and P2B Rights

Under Regulation (EU) 2019/1150: the Platform will give at least 15 days advance notice of any changes to commission rates; Sellers may contest suspension by email to [email protected]; suspensions for serious reasons may be applied immediately with written justification.

7. DSA Obligations

Under Regulation (EU) 2022/2065 (DSA): registration data must be accurate; no illegal products will be listed; and the Seller will cooperate with the Platform in resolving complaints. The Platform may suspend accounts and report illegal content to competent authorities (ANPC, ANSVSA).

8. Data Protection

Seller personal data is processed per GDPR (Regulation (EU) 2016/679) and Romanian Law no. 190/2018. Details in the Privacy Policy.

9. Intellectual Property

The Seller grants the Platform a non-exclusive, royalty-free licence to use uploaded photos and content for promotional purposes.

10. Liability

The Seller bears full liability towards buyers and competent authorities for product quality, safety, conformity, and traceability. The Platform is not liable for product deficiencies. Joint platform liability applies only under conditions expressly provided by DSA or applicable law.

11. Term and Termination

This agreement is valid for the duration of the active seller account. Either party may terminate with 30 days notice. The Platform may suspend or close the account immediately in case of fraud, dangerous products, or serious breach.

12. Governing Law

This agreement is governed by Romanian law and applicable EU regulations. Disputes are subject to the jurisdiction of Romanian courts.
